This End User License Agreement (“EULA”) governs your download, installation, access, and use of the
Esigen desktop application and any related software components made available to
you (the “App” or “Desktop Application”). The Desktop Application is part of the Esigen signature
generation and hosting platform (the “Service”).
Important: This EULA is a software license agreement for the Desktop Application. Your use of the
broader Service (including web access, viewer subdomains, subscriptions, and hosting of signature
outputs) is governed by the Esigen Terms of Service, which are incorporated by reference. If there
is a conflict, this EULA governs matters specific to Desktop Application licensing and marketplace
rules, and the Terms of Service govern the Service relationship.
1. Acceptance and Binding Effect
By downloading, installing, accessing, or using the Desktop Application,
you confirm that you have read, understood, and agree to be bound by this EULA. If you do not agree,
do not install or use the Desktop Application.
If you use the Desktop Application on behalf of a company or other legal entity, you represent and
warrant that you have authority to bind that entity, and references to “you” include that entity.
2. Definitions
In this EULA:
“Marketplace” means the Apple App Store and/or the
Microsoft Store, as applicable.
“Marketplace Provider” means Apple Inc. or Microsoft
Corporation, as applicable.
“Authorized User” means a user permitted by a subscribing company to access the
Service.
“Company Administrator” means an Authorized User with administrative permissions
within a Company Account.
“Customer” means a company subscribing to the Service.
“Documentation” means instructions and help content we provide for the Desktop
Application and/or Service.
“Updates” means bug fixes, patches, and new versions of the Desktop Application.
3. License Grant
Subject to your compliance with this EULA, the Terms of Service, and
applicable Marketplace rules, Esigen grants you a limited, revocable, non-exclusive,
non-transferable, non-sublicensable license to download, install, and use the Desktop Application
solely:
(a) on macOS and/or Windows devices that you own or control (or that are owned or controlled by your
organization); and
(b) for your internal business use (or your employer’s business use) in connection with the Service.
All rights not expressly granted are reserved by Esigen.
4. License Restrictions
You must not, and must not allow any other person to:
(a) copy, modify, adapt, translate, or create derivative works of the Desktop Application (except as
permitted by law);
(b) reverse engineer, decompile, disassemble, or attempt to derive source code, trade secrets, or
underlying ideas of the Desktop Application;
(c) circumvent security controls, feature gates, licensing checks, subscription requirements, or
usage limits;
(d) rent, lease, sell, resell, sublicense, distribute, or commercially exploit the Desktop
Application (except as explicitly agreed in writing by Esigen for enterprise arrangements);
(e) remove, obscure, or alter proprietary notices;
(f) use the Desktop Application to build, benchmark for competitive purposes (except where
prohibited by law), or assist in creating a competing signature platform;
(g) use the Desktop Application for unlawful, infringing, deceptive, fraudulent, phishing,
impersonation, or harmful purposes.
5. Account, Subscription, and Service Dependency
The Desktop Application requires an account and is designed to operate
as part of the Service. Certain features require an active subscription held by a
Customer.
If your access is provided through a Customer (for example, your employer), your rights to use the
Desktop Application may end when your authorization is revoked or when the Customer subscription
ends, consistent with the Terms of Service.
6. User Content and Responsibility
The Desktop Application may allow you (or your Customer) to upload and
use content such as employee details, headshots, logos, icons, and signature configuration data
(“User Content”).
You represent and warrant that you have the legal right to upload and use User Content and that it
does not infringe rights of others or violate law. You acknowledge that publishing signature
information on viewer pages may expose personal data depending on Customer settings.
Esigen does not monitor all User Content but may remove or restrict access where we reasonably
believe it violates this EULA, the Terms of Service, or law, or creates security or reputational
risk.
7. Privacy and Data Processing
Your use of the Desktop Application is subject to the Esigen Privacy Policy, which explains how we
process personal data in connection with the Desktop Application and Service, including operational
logs, analytics, and the controller/processor allocation for Employee Data.
If you are an employee whose data is uploaded by a Customer, the Customer is typically the data
controller and Esigen acts as the processor for the purpose of generating and hosting signatures.
8. Device Permissions (Desktop)
The Desktop Application may request limited system permissions strictly necessary to provide functionality you initiate (such as selecting and uploading an image or file). Permission handling is governed by your operating system (macOS or Windows). If you deny a permission, related features may not function.
9. Updates, Changes, and Availability
Esigen may provide Updates to the Desktop Application. Updates may modify features, improve
security, or
address defects. You agree that:
(a) The Desktop Application may update automatically where permitted by your device or Marketplace
settings; and
(b) The Desktop Application and Service may change over time, including UI changes and feature
adjustments, provided the core purpose remains substantially consistent.
We do not guarantee that any particular feature will remain available indefinitely.
10. Third-Party Services and Marketplace Terms
The Desktop Application may interact with third-party services (e.g., hosting infrastructure,
analytics, payment systems) as described in the Terms of Service and Privacy Policy. Your use of
third-party services may be subject to their terms.
If you obtain the Desktop Application from a Marketplace, your use must also comply with that
Marketplace’s usage rules.
11. Apple App Store and Microsoft Store Specific Terms
If you obtained the Desktop Application from a Marketplace, the following apply:
11.1 Parties. This EULA is an agreement between you and Esigen, not the Marketplace
Provider. The Marketplace Provider is not responsible for the Desktop Application or its
content.
11.2 Maintenance and Support. Esigen, not the Marketplace Provider, is solely
responsible for providing maintenance and support services for the Desktop Application, if any. The
Marketplace Provider has no obligation to furnish any maintenance or support services.
11.3 Claims. Esigen, not the Marketplace Provider, is responsible for addressing
any claims by you or any third party relating to the Desktop Application, including (a) product
liability claims, (b) claims that the Desktop Application fails to conform to applicable legal or
regulatory requirements, and (c) claims arising under consumer protection or similar legislation,
subject to the disclaimers and limitations in this EULA and the Terms of Service.
11.4 Intellectual Property Claims. In the event of any third-party claim that the
Desktop Application infringes intellectual property rights, Esigen (not the Marketplace Provider)
will be solely responsible for investigation, defense, settlement, and discharge of the claim to the
extent required by applicable law.
11.5 Third-Party Beneficiary. The Marketplace Provider and its subsidiaries are
third-party beneficiaries of this EULA. Upon your acceptance of this EULA, the Marketplace Provider
has the right (and is deemed to have accepted the right) to enforce this EULA against you as a
third-party beneficiary.
12. Export Controls and Sanctions
You represent and warrant that you are not located in a country subject to comprehensive trade restrictions, and you are not listed on any restricted party list, where such use would be prohibited. You agree to comply with applicable export control and sanctions laws in connection with the Desktop Application and Service.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Desktop Application is provided “as is” and “as
available.” Esigen disclaims all warranties of any kind, whether express, implied, or statutory,
including warranties of merchantability, fitness for a particular purpose, non-infringement, and
that the Desktop Application will be uninterrupted, error-free, or secure.
Without limiting the above, Esigen does not warrant:
(a) that signatures will render identically across all email clients, devices, or OS versions;
(b) that viewer pages will not be shared or accessed beyond intended recipients; or
(c) that the Desktop Application will be compatible with all devices or future OS
releases.
Some jurisdictions do not allow the exclusion of certain warranties; in that case, exclusions apply
to the maximum extent permitted.
14. Limitation of Liability
To the maximum extent permitted by law:
(a) Esigen will not be liable for any indirect, incidental, special, consequential,
or punitive
damages, or for any loss of profits, revenue, goodwill, business opportunities, data, or anticipated
savings,
arising out of or relating to the Desktop Application, the hosting of assets (including
images, icons, and media), the generation, rendering, storage, or hosting of signature text or
HTML
output, Viewer Pages, or this EULA
, whether based on contract, tort, strict liability, or any other
legal theory; and
(b) Esigen’s total aggregate liability arising out of or relating to the
Desktop Application, hosted
assets, generated text/HTML content, Viewer Pages, the Service, or this EULA
will not exceed
the
amount paid to Esigen for the applicable subscription or package in the twelve (12) months
immediately preceding the event giving rise to the claim
, or USD 24 (the single-company standard
package fee) as a nominal cap if no higher amount was paid,
except where mandatory law prohibits
such limitation.
Nothing in this EULA limits liability to the extent it cannot be limited under applicable law.
15. Termination; Effect of Termination
15.1 Termination by You. You may terminate this EULA by uninstalling the Desktop
Application and
ceasing use.
15.2 Termination by Esigen. Esigen may terminate or suspend this EULA immediately
if you breach this
EULA, the Terms of Service, or applicable law, or if your use creates a security or abuse risk
(including phishing or impersonation risks).
15.3 Effect. Upon termination, the license granted in this EULA ends immediately.
You must stop
using the Desktop Application. Termination does not necessarily delete Customer Data; data handling
is governed by the Terms of Service and Privacy Policy and, for Employee Data, by Customer
instructions.
16. Confidentiality and Security Expectations
You must keep login credentials confidential and promptly notify Esigen of any suspected
unauthorized access or security incident. If you are using the Service as part of a Customer
organization, you must follow the Customer’s internal security policies and access
controls.
These obligations apply to your use of the desktop application (including design and file
management features), hosted viewer subdomains, hosted assets (such as images and icons), and
generated signature content (including text and HTML output). You are responsible for
safeguarding access to all such components and for preventing unauthorized use arising from
credential sharing, misconfiguration, or inadequate internal controls.
17. Governing Law and Venue
This EULA, and any dispute or claim arising out of or relating to the
desktop application, hosted
viewer subdomains, hosted assets, generated signature content (including text and HTML output), or
the Service
, is governed by the laws of the Republic of Turkiye, without regard to conflict-of-laws
principles.
The courts and enforcement offices of Kayseri, Turkiye shall have exclusive jurisdiction over such
disputes, except where mandatory law requires otherwise.
18. Miscellaneous
18.1 Entire Agreement (App License). This EULA, together with the Terms of Service and Privacy Policy referenced above, forms the complete agreement regarding the Desktop Application license and supersedes prior statements about the Desktop Application license.
18.2 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect.
18.3 No Waiver. Failure to enforce any right is not a waiver of that right.
